Terms of service

These terms apply when a business uses UnitedPos. Together with the order form or quote you accepted and our data processing terms, they make up our agreement. If the order form says something different, the order form wins.
Who the agreement is between
The agreement is between United Payments Ltd (company number 11274512, 601 Green Lanes, London N8 0RE), "we", and the business named on the order form, "you". UnitedPos is for businesses only: these terms are not made with consumers.
What we provide
UnitedPos is made up of:
- the till app, installed on your Android tills and tablets;
- the back office, used in a web browser;
- the servers that keep your data and connect your tills, card machines and, where you choose, delivery platforms;
- support by email and phone in working hours.
We improve UnitedPos over time. We will not take away a feature you rely on without telling you first.
Your account and your staff
- Each till is activated with your licence. Keep the licence key, owner password and staff PINs to yourselves.
- You decide who can do what on the till (voids, refunds, discounts, cash) and you are responsible for what is done under your staff's PINs.
- Tell us straight away if you think someone has got into your account who should not have.
What you are responsible for
- Your tills, printers, network and internet connection, and keeping the till app up to date when we ask.
- Your agreement with your card acquirer or payment provider. Card payments are made between you, your customer and that provider; UnitedPos sends the amount to the card machine and records the result.
- Your prices, VAT settings, allergen information and menu descriptions, and keeping your own business records as the law requires. UnitedPos helps you, but you remain responsible for your tax returns.
- Using UnitedPos lawfully, and not trying to break, copy or overload it.
Fees
You pay the fees on your order form. Unless it says otherwise, subscription fees are billed monthly in advance and are due within 14 days of the invoice. We may suspend the service if an invoice is more than 30 days late, after telling you in writing and giving you 7 days to pay. We will give you at least 60 days' notice of any price increase.
Availability and working offline
We aim to keep UnitedPos running all day, every day, and plan maintenance outside opening hours where we can. When our servers or your internet cannot be reached, the till keeps the sales it takes and sends them when the connection returns.
Some things need a connection: cloud-connected card machines, online orders, gift card checks, emailed receipts and changes made in the back office.
Your data
The data you put into UnitedPos is yours. We use it only to provide the service, as set out in our data processing terms and privacy policy. You can export your menu, sales and reports at any time.
Our software
UnitedPos, its designs and its name belong to us. We give you a non-exclusive, non-transferable right to use it for your business while the agreement lasts.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited.
Otherwise, neither of us is liable for loss of profit, revenue, goodwill or data that could have been restored from a backup, or for indirect loss. Our total liability in any 12 months is limited to the fees you paid us in those 12 months.
Ending the agreement
- Either of us can end it with 30 days' written notice, unless your order form sets a minimum term.
- Either of us can end it at once if the other seriously breaks these terms and does not put it right within 14 days of being asked, or becomes insolvent.
- When it ends, you have 30 days to export your data. We then delete it, except what we must keep by law.
General
- We may update these terms. We will tell you at least 30 days before a change that affects you, and you may end the agreement before it applies.
- Neither of us is responsible for delays caused by events outside our reasonable control.
- These terms are governed by the law of England and Wales, and the courts of England and Wales decide any dispute.
